1. Agreement
These terms apply whenever you use Waffel — the web app, this website, or any connected feature such as the Gmail connector. By creating an account or connecting Gmail, you're agreeing to them. If you don't agree, don't use the product — and tell us why, we'd genuinely like to know.
2. What Waffel is
Waffel is a tool for Australian UGC creators to manage brand deals — building a deal with real usage-rights terms, getting it signed, getting paid, and keeping a tax-ready income record. Where you connect Gmail, Waffel can also read your inbox to identify brand-deal threads and help you track and follow up on them.
Waffel is software. It is not a law firm, an accounting practice, or a licensed financial adviser, and nothing in the product constitutes tax, legal or financial advice. Speak to a registered professional about your own circumstances, especially before relying on anything here for a tax return.
3. Who can use it
You need to be at least 18 and able to form a binding contract under Australian law. Waffel is built specifically around Australian tax concepts (GST, ABN, financial year reporting) — it may still work for creators elsewhere, but those parts won't apply to you.
4. Your account and connections
You're responsible for keeping your account credentials secure, and for anything that happens under your account. If you connect Gmail, you can disconnect it at any time from within Waffel or directly through your Google account settings — see the Privacy Policy for how that connection is used and stored.
5. Acceptable use
You agree not to:
- Use Waffel for anything illegal, fraudulent, or to misrepresent a deal to a brand or creator.
- Use the Gmail connection to access, monitor, or act on an inbox that isn't yours or that you're not authorised to connect.
- Attempt to reverse-engineer, scrape, or interfere with the product or its infrastructure.
- Use any automated follow-up or reminder feature to send unsolicited or harassing messages.
6. Content and data you provide
You own the deal terms, brand information, and content you put into Waffel. You're responsible for it being accurate — Waffel doesn't verify deal terms, ABNs, or the identity of a brand you add. We use your data to operate the product, as described in the Privacy Policy.
7. Payments
Where payment processing is live, it runs through a third-party processor (such as Stripe). Waffel does not hold your funds — money moves from the brand to you via that processor, subject to its own terms. Waffel is not a party to the underlying deal between you and a brand, and isn't responsible for a brand failing to pay.
8. Fees
Waffel is free during the current beta. If paid plans are introduced, existing users will be notified in advance of any change that affects them, with a clear description of what's changing and why.
9. Third-party services
Waffel connects to services we don't operate — Google (for Gmail access) and payment processors, once live, being the main ones. Your use of those services is also subject to their own terms, and we're not responsible for their availability or conduct.
10. Intellectual property
Waffel — the product, its design, and its underlying code — belongs to us. Nothing in these terms transfers ownership of it to you. You retain ownership of the deal data and content you put into it.
11. Disclaimer and limitation of liability
Waffel is provided "as is," particularly during this beta. We try hard to get deal terms, GST calculations and rights-window tracking right, but we don't guarantee the product is error-free, and you're responsible for checking anything that matters before relying on it — especially for tax purposes. To the extent permitted by Australian law, Waffel isn't liable for indirect losses arising from your use of the product, including a missed deadline, a lapsed rights window, or a dispute with a brand.
Nothing in these terms excludes any consumer guarantee or right you have under the Australian Consumer Law that can't lawfully be excluded.
12. Termination
You can stop using Waffel and disconnect Gmail at any time. We may suspend or terminate access for conduct that breaches these terms, or that puts other users, brands, or the product's security at risk.
13. Governing law
These terms are governed by the laws of Australia, and any dispute is subject to the jurisdiction of Australian courts.
14. Changes to these terms
We'll update the date at the top of this page when these terms change, and tell existing users directly about any change that materially affects them.
